Transaction Advisory

Transaction advisory is provided in connection with valuation engagements to support decision-making prior to acquisition, disposition, or restructuring.

The focus is on independent valuation-based perspective, not transaction execution.


Purpose of Transaction Advisory

Certain transactions require an objective view of value and structure before commitments are made.

This includes evaluating:

  • Whether pricing is supported by underlying value 
  • How assets and entities are aligned within the transaction 
  • Whether assumptions are consistent with market conditions 

The objective is to support informed decision-making, not to facilitate or broker the transaction.


Typical Situations

Transaction advisory is commonly provided in connection with:

  • Acquisition or disposition of closely held businesses 
  • Transactions involving both business and real estate components 
  • Internal reorganizations or ownership changes 
  • Partial interest transfers 
  • Situations requiring independent valuation perspective prior to execution 

These engagements often involve multiple entities and interrelated assets.


Valuation-Based Approach

Transaction advisory is grounded in multi-disciplinary valuation analysis, including:

  • Business valuation 
  • Commercial real estate valuation 
  • Ownership and entity structure considerations 

The analysis focuses on:

  • Alignment between value and transaction terms 
  • Reasonableness of assumptions 
  • Consistency across asset classes and entities 


Independent Perspective

This role is distinct from transaction execution.

  • No brokerage or deal facilitation 
  • No representation of buyer or seller in negotiations 
  • No success-based compensation 

The objective is to provide independent, valuation-based insight supporting the client’s decision process.


Relationship to Commercial Reasonableness

Transaction advisory and commercial reasonableness analysis are often complementary.

  • Transaction advisory focuses on pre-decision evaluation 
  • Commercial reasonableness focuses on economic substance and alignment 

Both are grounded in valuation and may be performed within the same engagement.


Senior-Led, Select Engagements

This is a senior-led practice.

  • Engagements are handled directly by the principal 
  • Work is selective and situation-specific 
  • Analysis emphasizes clarity, independence, and defensibility 

The focus is on assignments where valuation insight materially affects transaction decisions.
