Commercial Reasonableness

Commercial reasonableness analysis is performed as part of valuation-driven engagements where the economic substance of a transaction or ownership structure must be evaluated.

The focus is not on transaction execution, but on whether the underlying assumptions, structure, and outcomes are economically supportable.


Purpose of Commercial Reasonableness Analysis

Certain situations require an independent assessment of whether a proposed or completed transaction is consistent with:

  • Ownership structure and constraints 

This analysis is often necessary where valuation conclusions are expected to support:
